These Terms and Conditions ("Terms") govern your access to and use of Fluent, including this website and the Fluent language learning application. Fluent is owned and operated by Radient Inc. ("Radient," "we," "us," or "our").
By accessing or using Fluent, you agree to these Terms. If you do not agree, do not use Fluent.
1. Eligibility and Accounts
You must be able to form a binding agreement to use Fluent. You are responsible for maintaining the confidentiality of your account and for all activity under your account. You agree to provide accurate account information and to keep it current.
2. The Fluent Service
Fluent provides language learning tools, including dashboards, flashcards, phrase and vocabulary directories, pronunciation audio, and progress tracking. We may add, change, suspend, or discontinue features at any time.
3. Educational Use
Fluent is provided for learning and practice. We work to make the content useful, but we do not guarantee that every translation, pronunciation, explanation, example, or review prompt will be complete, error-free, or appropriate for every context.
4. User Content and Study Data
You may submit information to Fluent, including account details, preferences, review activity, and text used for pronunciation features. You retain rights you have in your content, but you grant Radient the rights needed to host, process, transmit, cache, display, and otherwise use that content to operate, secure, and improve Fluent.
5. Acceptable Use
You agree not to misuse Fluent or help anyone else misuse it.
- Do not violate applicable law or third-party rights.
- Do not attempt to access accounts, systems, or data without permission.
- Do not interfere with or disrupt Fluent infrastructure.
- Do not reverse engineer, scrape, or abuse Fluent except as allowed by law.
- Do not submit harmful, infringing, deceptive, or abusive content.
6. Third-Party Services
Fluent may rely on third-party services for authentication, hosting, databases, payments, email, analytics, and AI-generated audio. Your use of those features may also be subject to the providers' terms and policies. Radient is not responsible for third-party services outside our control.
7. Paid Features
Fluent may offer paid plans, trials, subscriptions, or other paid features. If you purchase a paid feature, you authorize us and our payment processors to charge the applicable fees, taxes, and renewal amounts. Unless stated otherwise, fees are non-refundable except where required by law or expressly provided by Radient.
8. Intellectual Property
Fluent, including its software, design, branding, logos, content, and related materials, is owned by Radient or its licensors and is protected by intellectual property laws. These Terms do not grant you any ownership interest in Fluent.
9. Feedback
If you provide feedback or suggestions, you grant Radient a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation to you.
10. Disclaimers
Fluent is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Radient disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that Fluent will be uninterrupted, secure, error-free, or that learning content or AI-generated audio will meet your expectations.
11. Limitation of Liability
To the maximum extent permitted by law, Radient and its affiliates, directors, employees, agents, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or use. Radient's total liability for any claim relating to Fluent or these Terms will not exceed the greater of the amount you paid to Radient for Fluent in the twelve months before the claim or $100 USD.
12. Indemnification
You agree to defend, indemnify, and hold harmless Radient and its affiliates, directors, employees, agents, service providers, and licensors from claims, liabilities, damages, losses, and expenses arising out of or related to your use of Fluent, your content, or your violation of these Terms or applicable law.
13. Termination
We may suspend or terminate your access to Fluent if we believe you have violated these Terms, created risk, or used Fluent in a way that may harm Radient, users, or third parties. You may stop using Fluent at any time.
14. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction where Radient is headquartered, without regard to conflict of law rules. Before filing a formal claim, you agree to try to resolve disputes informally by contacting us at [email protected].
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms or through another reasonable method. Your continued use of Fluent after an update means you accept the updated Terms.
